A public company must provide a physical certificate of ownership to investors who request it. We work with two companies that provide quality service. One is a nationally recognized banknote company that specializes in the design and printing of high quality stock certificates. EDGAR Filing
We have simplified the filing process so that issuers are able to manage all EDGAR submissions online. Our proprietary software allows users to view all Edgar forms submitted to processing, the date they were submitted and the status of the form. The user can create new Edgar form submissions as well as edit, view and/or respond to Edgar forms. Please click here to find out how.

CUSIP # Request
The CUSIP numbering system exists for the primary purpose of uniquely identifying issuers of securities and their financial instruments within a standard framework, and disseminating this information to the financial marketplace. All traded securities are required to have a CUSIP number. We, at Stocktransfer.com can file for your CUSIP number(s). You can apply for a CUSIP number by simply completing our CUSIP request form.

Escrow Agent
Some public offerings require a third party Agent to hold money in an Escrow account until a pre-determined minimum amount is raised (typically called a Best Efforts Escrow). Our partner has the online capability to provide the Issuer instant knowledge of deposited investments and allows the Issuer to download investor data in PDF or EXCEL. Trading Board
Trading Board is a stand-alone software solution where sellers can post shares at a set price and for a set amount of time. Buyers can browse the share listings to execute on those offers, or list their own offer(s) to buy shares at a set price. Neither the company nor the transfer agent is involved in the process of promoting, matching or settling any transactions. The entire process is a private transaction between the buyer and seller, and brings the two sides together anonymously until the amount of shares and price are agreed upon.

Subscription Agent
Our proprietary software application allows Issuers, and any party they designate, to use this online capability. Investors are directed to the Issuers website where they are able to download the Offering Circular, view a synopsis of the offering as well as the Disclaimer. If interested in investing, an online Wizard requests the name of the investor, address, the amount of shares they wish to purchase and other pertinent information. The Issuer, Investor and Subscription Agent receive email notification after the Wizard is completed.

Stock Legend Removal
We are able to reduce unreasonable expenses in processing required paperwork for removing stock legends. In a nutshell, we improve investor relations because we help a company’s clients save money on their restricted stock transactions. As special counsel for any corporation, we check to make sure the company's stock qualifies, determine trading volumes, and fax opinion letters directly to the stock transfer agent for the most efficient processing.

Transfer Agent Software
We have teamed with a software application company that provides transfer agent software for company’s that act as a transfer agent for many corporations, or need to manage only its own shares. The system allows you to produce dividend checks, send out and tabulate proxy material, transfer and print certificates, process stock transfers, process proxy votes, process dividends, keep accurate records and create many useful reports.

Outsourced CFO/ Internal Accounting
In this “Executive Level Program” we serve as a member of the company’s management team, but not retain any rights for management decision.  Here’s what we do:

• Attend monthly meetings to discuss internal issues, industry, market, and the SEC
• Create a monthly newsletter, further revealing business ideas and strategies
• Prepare monthly financial statements
• Prepare corporate tax returns
• Prepare tax returns for executives of the company
• Prepare financial ratio analysis
• Hire and fire strategies and consultation to get and keep the best people
• Financial planning for the company and it’s executives

The above can be upgraded for companies that wish to have us serve as the “Outsourced Controller” or “Interim CFO”, so as to benefit from lower cost, increased resources, zero payroll taxes, and additional services.  The details of the “Outsourced Controller” would include the services listed above, as well as:

Corporate & Executive Tax Returns
If your corporate tax return is prepared internally, we can review the return and make any necessary recommendations or, we will prepare the tax return for you. Some companies offer Board members and senior management services that includes the preparation of individual tax returns. This service is provided at a reduced charge for five (5) or more executives.

Audit Committee
We can work with you to set up an audit committee that determines company guidelines, rules and by-laws so that requirements of the SEC, the Sarbanes-Oxley Act, etc., are met.

Planning to Maximize the Deferral of Taxes
We will do an in depth review of the company’s current and future tax situation.  If the analysis suggests that you will be able to reduce the company’s tax liability, we will work with management to implement the potential tax savings.

Year-End Financial Statement Audit
If your Audit Committee is concerned with the current auditor or determines that there may be a potential conflict of interest, we can serve as an independent auditor. If, however, you are satisfied with your current situation, we can potentially keep your costs down by assisting your auditor in the preparation of financial statements.

Internal Auditing
You do not have to switch independent auditors for this service.  We will assist in the testing of the internal accounting controls, financial systems, and financial statements.  An internal audit should decrease the cost of your annual audit, as the work papers generated by us can be used by the auditors and should decrease the amount of their time spent on the engagement.

Ratio Analysis (Industry Comparison)
We analyze and interpret your financial statement data and compare 15-20 ratios with standards in the industry to create an easy to understand narrative that assesses your financial performance. Whether analyzed monthly, quarterly, or annually, the Ratio Analysis is a superb planning tool that should maintain and/or improve current financial performance.

Quarterly Financial Statement Review
Along with the annual audit, this is a necessary expense of the company and we can assist you in completing this project or assisting your accounting department.

Strategic Growth / Expansion Planning
We work with management to assess where the company is, where they want to be, and how to get there.  The goal is to maximize shareholder value by increasing revenue, decreasing costs and creating a foundation for the company to succeed in whatever economic climate presents itself.  A minimum of a three (3) to six (6) month engagement is recommended for this program.

Corporate Secretary & Daily Administration
We can serve as Corporate Secretary and handle day-to-day tasks, such as bank reconciliation’s, paying bills, etc. This service is typically provided to start up companies desiring to concentrate on growing their business and not be tied down with other day-to-day activities.

Raising Capital & Stock Promotion
Services range from finding investors to assisting in obtaining bank loan financing.  Fees are based on the amounts raised, the type of funding required and the strength of the company (the stronger the company, the lower the fees).  Bank loans require less time and effort on the firm’s part, while equity funding will incur more time and costs.

Feasibility Studies
When evaluating potential expansion plans, we will work with management to provide a company market analysis.  The evaluation will consider the city or country to expand into or which consumer market deserves the company’s attention.  If the company requires market research, we work with one of the worlds’ leading market research firms to draft questionnaires, conduct interviews, and present the results with opinions and conclusions.

Fulfilling Requirements of Rule 15(C) 211
We will organize and assist in the completion of Form 15(C) 211 as well as addressing comments by the NASD.  The fee depends on the assistance your outside counsel, if any.

Stock Option Plan Creation
We will meet with management to determine the goals of your company in creating a stock option plan and then draft a plan for your review and approval.  This plan can be a basic employee stock option plan or a more complex plan which includes warrants.

Legal & SEC Filing
There are many law firms that specialize in corporate securities matters for public and private companies.  Similar to transfer agents, the larger legal firms have geared their fees and services to the needs of large companies. Furthermore they do not concentrate on companies planning to trade on the Pinks Sheets/OTC. Our strategic partner has focused their concentration in the preparation of registration statements, secondary offerings and Securities Exchange Act reporting obligations. Experiences include meeting with executive management teams and equity investors, assisting companies regarding capital structure, drafting of private placement offering documents, reviewing venture capital investment offers and assisting companies with listing requirements.
